A sample rate contract a buyer can copy into their own paper. It fixes the rate. It does not order a quantity.

A rate contract fixes the price and the commercial terms for a period. It does not, by itself, tell the vendor to deliver anything. This format is a sample a private buyer can copy into their own agreement. It is not a GeM form, it is not legal advice, and there is no Excel or PDF file to download — copy the headings into your paper and fill the blanks.

The meaning of each part, and how a call-off differs from the contract, is on the rate contract page. Use that page if you are still deciding whether you need a rate contract or a blanket purchase order.

Cover

  • Parties. Legal names, addresses and GSTIN of the buyer and the vendor. A plant name is not a party.
  • Contract number and date. So later release orders can quote it.
  • Validity. Start date and end date. Say whether a release sent on the last day may still be delivered after expiry.
  • Estimated annual quantity. Label it estimated and not a commitment, unless you truly mean a take-or-pay.
  • Delivery point. One site, or a list of sites the rate covers. A delivered rate and an ex-works rate are different contracts.

Rate table

One row per item. The preview above is the shape: specification tight enough that stores cannot accept a different grade, unit, rate exclusive of GST, and the GST rate. If the rate is inclusive, say so in the column heading. A table that mixes the two will be read whichever way suits the person holding the invoice.

Clauses to keep, in this order

  1. Call-off. Quantity is committed only by a release order or purchase order that quotes this contract number. Emails that say “send the usual” are not call-offs.
  2. Price firm or price variation. Either “rates firm until the end date” or a formula. For steel, a worked pattern is: 80% of the rate moves with a named index, 20% stays fixed, base date printed on the contract. “Market rate” is not a formula.
  3. Fall clause, if you want one. If the vendor sells the same item, on the same delivery basis, cheaper to a comparable buyer during the contract, your price for later releases drops to that price. Define comparable. Without evidence, the clause does nothing.
  4. GST. HSN on each line. A change in the tax rate by law is passed through; a change in the vendor’s margin is not.
  5. Lead time. Counted from the call-off, not from the contract date.
  6. Rejection. Who inspects, how many days they have, and that rejected quantity is not invoiced.
  7. Termination. Notice period, and that releases already accepted are still delivered at the contract rate.

A short price-variation illustration

Base rate ₹62 per kg on 1 April, index 100. Formula: 20% fixed, 80% on the index. On 1 July the index is 110. New rate = 62 × (0.20 + 0.80 × 1.10) = ₹66.96 per kg. A 10-tonne call-off that week is ₹6,69,600 plus GST. If the contract had said the rate was firm, the call-off would still be ₹62. Write one of those two sentences. Do not leave it to a phone call in June.

What this sample does not do

  • It does not replace your company’s legal review, a stamp-paper requirement, or a government buyer’s mandatory clauses.
  • It does not set a GST rate for your HSN. Confirm the rate on the live item.
  • It does not download as a spreadsheet. The table above is the layout.

How Procupy handles this

Once the rate is agreed, it sits on the vendor’s item. Each call-off is a normal purchase order at that rate, so stores and accounts are not keeping a second price in a spreadsheet. Change the item price when the contract rate changes; purchase orders already sent keep the price they were issued with.

Frequently asked questions

What is a rate contract format?

A layout for the agreement that fixes item rates and terms for a period. Quantity is ordered later, by a release or purchase order. This page is a sample for a private buyer, not a government form.

Does a rate contract order the goods?

No. The contract fixes the rate. A call-off or purchase order that quotes the contract is what tells the vendor to deliver a quantity to a site.

Should the rate include GST?

Pick one and label the column. Exclusive of GST is easier to maintain when the tax rate changes. Inclusive is fine if every row says so.
